first of all i didnt say worked for one company and work for another company.

but also if you knew, coke and pepsi both own each others shares, so using thoes companies are irelevant (sorry i dont know how to spell). being an employee and being a consultant are completely different things.

im saynig that if you franchaise a buisness(or own your own) that whatever you learned in that first buisness, you are not able to use inside that second buisness as a owner or an employee, and being given a share of the profits makes you part owner of that second company.

EXACTLY.

Companies that are even seen as direct "competitors" collaborate ALL THE TIME.

This is how the business world works. If you only stick to your own, your business will fail without question. Collaborations are what make things work.

Personally, me operating as a consultant for him wouldn't bother me so much if noah were to be actively doing the same thing, but he's insisted that he will never work for any one ever again.. which means that any/all contract work will have to be brought in by me, which is bullshit, why should i be doing all the work so he can get his 50%?

The time your going to be working as a consultant, Thog will be working on the dotcom website (in theory) which could eventually become a source of revenue for you both. If you (Neoform) is spending your time working for the other company, that's time your not spending working on your parternship project and thus more work will be required of Thog , hence it's not absurd that he gets a share of your revenues. All this is based on the assumption that Thog will be working extra to cover the work you wont have time to do due to your counseling post.

Let's just clarify something to those who say we're in competition..

Right now it's like me and noah own a McDonald's (because we market to a certain crowd), I then go and open a fancy ass resto that sells $60 plates across the street with someone else (this other person markets to difference crowds)..

just cause they're both resto's doesn't mean their competing..

one buisness will in fact take away from the other. ive worked in resturants all my life and whenever one resturant opens up right next door or across the street, it does in fact take away from the buisness. even though the prices are different and the food is different, people always like to try new things.

And yes there will be work to do... Especially if we wanna grow, I can name you many things we should be working on. I just spend 1 month making a new advertizing tool which will hopefully bring in some cash. Now the next step is to open up 30 other sites which look like dotmate and expand... There are also tech support calls and there are employees to take care of and make sure are doing a good job, there is accounting which does not take long, and maybe even learning some other stuff or two. If you wanted to work you could, same as me, and I will continue to do my best to make the site grow, just as I have been working on dotmate while you been making money from the other company already.

Anyways I have already said that as long as my lawyer does not see a problem with it (and it's possible s/he will) you could work as Dotmate for their company and I would give you 100% of your salary. But then there is the conflit that anything you do for them can't just be owned by them since that would not at all be beneficial for our company and can bring us lawsuits since we are the same type of company and it would probably be in our interest to use those ideas for us. There can't be any conflicts of intersts. Also any % owned of the other company would be owned by our company. This is way fair since I'm the one who will be slaving away for our company while your out there making extra $$$ for yourself. I think it's more then fair and even not fair for me actually the more I think about it. I'm sure any lawyer I talk with would think I'm rediculous to allow that. Why not just go partners with him. If you think you will make that much money with him. He will pay you, you will own part of that company and you would not have to worry about what I do... We can both work for our own goals then...

Also there is fact that you don't want me to be working for the other company because you claim I can't do the job is rediculous. I don't think dotmate would be anything right now if it was not for both our work, and probably each one of us could have done it themselves given more time. I can name you a bunch of stuff you had no clue about before we started dotmate that you learnt from what I did.

Ian and XXX (the person who wants to hire Ian as a partner) goto the Gym together and our friend. XXX does not trust me for some reason. It's in Ian's and XXX's benefit to only be 2 partners and not 3. Also Ian claims I am not capable of making an online dating site. I have no idea where that comes from. It would make sence that we both work on the project as a team, but it would also mean less money for Ian and XXX does not like me cause I'm not gym guy. Honestly this whole situation is ubsurd. Like mavus said and other people also, no one in their right mind who is partners in a business decides to go work for a competator and still stays in the business.
